TERMS OF USE

These Terms of Use ("Terms") constitute a legally binding agreement between you and Juridion LLC ("Juridion," "we," "us," or "our") governing your access to and use of IRAC-It, including any associated websites, applications, and services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.
1. ELIGIBILITY AND ACCOUNT REQUIREMENTS
1.1 Eligibility
The Service is intended for use by licensed attorneys, law firms, and legal professionals. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
1.2 Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
1.3 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
2. DESCRIPTION OF SERVICE
2.1 Service Overview
IRAC-It is a legal document analysis platform that:
- Accepts uploaded legal documents (PDFs) for analysis
- Extracts and verifies case citations
- Retrieves case information from public legal databases
- Generates IRAC (Issue, Rule, Application, Conclusion) analyses using artificial intelligence
- Produces legal memoranda and analysis reports
2.2 AI-Generated Content
THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE LEGAL ANALYSES. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL AND ASSISTIVE PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE.
You acknowledge and agree that:
- AI-generated analyses may contain errors, inaccuracies, or omissions
- You are solely responsible for reviewing, verifying, and validating all AI-generated content
- You must exercise independent professional judgment before relying on any analysis
- The Service does not replace the need for competent legal research and analysis
3. SUBSCRIPTION AND PAYMENT
3.1 Free Trial
New users receive a 14-day free trial with up to two (2) document analyses. The trial begins upon account creation and expires after 14 days or upon exhausting the analysis limit, whichever occurs first.
3.2 Paid Subscription
After the trial period, continued use requires a paid subscription. Our current pricing is:
- Base Subscription: $499.00 per month
- Per-Analysis Fee: $24.99 per document analysis (metered billing)
Prices are subject to change with 30 days' notice to active subscribers.
3.3 Billing
Subscription fees are billed monthly in advance. Per-analysis fees are billed at the end of each billing cycle based on usage. All payments are processed through Stripe.
3.4 Cancellation
You may cancel your subscription at any time through your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months or unused analyses.
3.5 Failed Payments
If payment fails, we may suspend access to the Service until payment is successfully processed. We reserve the right to terminate accounts with repeatedly failed payments.
4. ACCEPTABLE USE
4.1 Permitted Uses
You may use the Service only for lawful purposes related to legitimate legal practice.
4.2 Prohibited Uses
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Upload documents containing malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated scripts or bots to access the Service
- Share your account credentials with others
- Resell, sublicense, or provide access to the Service to third parties
- Use the Service to generate content for purposes of competing with Juridion
- Upload documents you do not have the right to process
5. INTELLECTUAL PROPERTY
5.1 Our Intellectual Property
The Service, including all software, design, text, graphics, and other content created by Juridion, is owned by Juridion and protected by copyright, trademark, and other intellectual property laws. You receive only a limited license to use the Service as described in these Terms.
5.2 Your Content
You retain ownership of documents and content you upload to the Service. By uploading content, you grant us a limited license to process, analyze, and store your content solely for the purpose of providing the Service to you.
5.3 Generated Analyses
Subject to your compliance with these Terms, you may use AI-generated analyses produced by the Service for your legitimate legal practice purposes.
6. DISCLAIMERS
6.1 No Legal Advice
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. JURIDION IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL SERVICES. THE SERVICE IS A TOOL TO ASSIST LICENSED LEGAL PROFESSIONALS IN THEIR WORK.
6.2 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.3 AI Limitations
We do not warrant that:
- AI-generated analyses will be accurate, complete, or error-free
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, or secure
- Citation verifications will identify all errors or inaccuracies
6.4 Third-Party Services
The Service integrates with third-party services (including Anthropic, CourtListener, Firebase, and Stripe) over which we have no control. We are not responsible for the availability, accuracy, or reliability of these third-party services.
7. LIMITATION OF LIABILITY
7.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURIDION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER JURIDION WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability
IN NO EVENT SHALL JURIDION'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JURIDION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
7.3 Professional Responsibility
YOU ACKNOWLEDGE THAT YOU ARE A LEGAL PROFESSIONAL RESPONSIBLE FOR YOUR OWN WORK PRODUCT. JURIDION SHALL NOT BE LIABLE FOR ANY MALPRACTICE, NEGLIGENCE, OR OTHER CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON AI-GENERATED CONTENT.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Juridion and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you upload to the Service
- Your professional conduct or malpractice
- Claims by your clients or third parties related to your use of AI-generated content
9. MODIFICATIONS TO SERVICE AND TERMS
9.1 Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
9.2 Terms Modifications
We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
10. TERMINATION
10.1 Termination by You
You may terminate your account at any time by contacting us at support@juridionai.com
10.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable period following termination.
11. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
12. DISPUTE RESOLUTION
PLEASE READ THE ARBITRATION AGREEMENT CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH JURIDION AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration as set forth in the separate Arbitration Agreement.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with the Privacy Policy and Arbitration Agreement, constitute the entire agreement between you and Juridion regarding the Service.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
13.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
